You can now read the whole defense put forward by Elon Musk’s attorneys that Twitter is solely to blame for his most recent change of heart in this 165-page document that was recently made available by the Delaware Court of Chancery.
You are familiar with the story’s gist. Musk purchased several Twitter shares. Musk agreed to join the board of directors and made a commitment not to try to acquire Twitter. He later had a change of heart, secured the required funding using part of his Tesla stock, and finally consented to a $44 billion purchase of Twitter. The world’s richest man sought to back out of the agreement after changing his mind once more, which led to Twitter suing him to make him acquire the business as promised.
The lawyers for Twitter are already digging through Musk’s business dealings to find proof that the switch is related to something else, while the Musk side is now arguing that they purposefully obstructed, misrepresented, and outright bamboozled his efforts to determine the number of actual tweeters.
